Despite being a small state, Delaware has a significant corporate reputation to uphold–more than half of the Fortune 500 is incorporated within its borders. Recently, Delaware has been under a national spotlight after its courts took on Elon Musk, CEO of Tesla and founder of SpaceX. On December 2, 2024, Delaware’s Court of Chancery rejected Tesla’s effort to restore Musk’s $56 billion pay package, even though shareholders had voted to approve it again. The case eventually reached the Delaware Supreme Court, where arguments tested both Musk’s compensation and Delaware’s long-standing role of a corporate haven.
At the center of the debate is a key question: Who should courts protect? Executives or shareholders? Judge Kathaleen McCormick ruled that Tesla’s board of directors gave Musk an unfair deal with conflicts of interest and poor transparency. But most shareholders disagreed, as 77% voted in favor of the same deal in past years.
On the shareholder side, Tesla’s stock has remained constant. Even though Musk didn’t receive his large paycheck, the company’s board approved a smaller bill of $29 billion in stock options to the billionaire. Moreover, the company proposed a performance-based package potentially worth up to $1 trillion if huge goals are met.
However, Delaware’s image as America’s corporate capital may be at risk; States like Texas and Nevada are using the controversy to attract companies unhappy with Delaware’s strict oversight. According to a recent study, large companies are leaving Delaware at a rapid pace since 2024, a worrying sign for Delaware’s economy and future.
Delaware’s Supreme Court heard arguments on October 15, and its decision will likely affect how U.S. companies view the state’s laws on business freedom. Whether Delaware continues to lead in corporate law or loses ground to fellow states, may depend on how it balances the values of shareholders and denizens of its state.
